Reporting to the President and CEO, the CFO and General Counsel serves as the chief financial, administrative, and legal officer for Mackenzie Health Foundation, and provides leadership and direction pertaining to the financial planning, accounting, reporting, control, legal, and resource management functions for the organization. In addition, the CFO and General Counsel works closely with and provides expert legal advice to the President and CEO to ensure that the Foundation’s strategic priorities and goals are met. This includes providing leadership on legal matters, risk management, contracts, claims management and, as the corporate secretary, supporting the Board and its related Committees while upholding excellence in corporate governance.
Ensures efficient management of financial resources including cash, investments, mortgages and donated assets.
Generates operating and capital budgets by establishing an efficient and effective financial planning process, including a clear set of financial assumptions, and budgetary guidelines and instructions.
Develops, implements and maintains accounting standards and a system of internal controls.
Develops and revises policies and procedures relating to financial, statistical and internal control records, processes and reports.
Supervises the controller function.
Engages and provides oversight to the outsourced controller.
Manages the external audit process.
Oversees accounting, internal reporting, variance analysis and interpretation of results of operations.
Ensures integration of statistical and financial data in management reports for the purposes of managing resource utilization, productivity, quality and controlling financial results.
Oversees the preparation of external reporting of financial and statistical results to government funding and regulatory agencies, other funding organizations, etc.
Generates period financial reports to support fiscal and operational management.
Provides leadership and direction on system evaluation, planning, development, and implementation.
Provides leadership and direction in managing the office function with the objective of ensuring the office functions in all respects e.g. office space, human capital, physical plant, IT services, office supplies.
Legal and Risk Management (ERM)
Develops, implements and evaluates an ERM program that identifies areas of potential risk, determines acceptable levels of risk, and makes recommendations to ensure managers and staff take appropriate measures to manage risk.
Provides legal advice to the Foundation regarding such items as governance (by-laws, letters patent, donor agreements, contracts,.
Participates in critical incident reviews and provides legal advice on critical incident management.
Drafts, negotiates contracts, and mediates disputes involving third parties
Advises proactively as a litigation avoidance strategy.
Stays abreast of legislative developments and assists Foundation to ensure statutory/regulatory compliance e.g. Freedom of Information and Privacy Protection Act (FIPPA), Not-for-Profit Corporations Act.
Tracks and reports on legislative requirements.
Coordinates and manages all outsourced legal work.
Oversight and Participation in Investigations
Conducts fact-finding and legal research on a variety of matters, including critical incident reviews.
Consults with/refers to internal/external resources as required.
Determines where other expertise is required to complete tasks and collaborates with departments on such interactions.
Identifies and reports relevant findings to appropriate managerial staff.
Commercial Transactions and Documentary Review
Drafts and reviews contracts and commercial transactional and related documents.
Advises on policies and procedures development and reviews.
Legal Research and Education
Conducts legal research and provides education as required.
Advises Board, staff and management on legal and administrative matters.
Investigates legal claims against the Foundation.
Investigates administrative claims.
Attends as the Foundation’s representative at legal proceedings.
Provides ongoing support and coaching in lawsuits against the Foundation in which staff are named as defendants.
Acts as primary point of contact with officials regarding matters of legislation or regulation.
Manages the work of the Board including policy development, By-Law reviews and changes, board evaluations, board education and orientation, and annual Board retreat.
Drafts for approval and implements the annual Board work plan.
Ensures that governance structures and processes function in the most efficient and effective manner, consistent with best practices in health care governance.
Acts as a resource to Board Chair and CEO on ongoing governance matters.
Board and Committees
Serves as the Corporate Secretary for the Foundation and oversees support for the coordination of the work of the Board and all Board committees.
Attends, prepares and finalizes minutes of all Board and Executive Committee meetings, including in camera and special resolutions.
Manages the development and coordination of the meeting packages of the Board and its Executive Committee.
Ensures the effective disposition of issues prior to, during and after meetings, working closely with the Board Chair, committee chairs, CEO, and others.
Documentation and Records
Oversees and completes any corporate compliance functions consistent with By-Laws and legislation e.g. maintaining and updating Federal or Provincial corporate registrations, and ensures all required notices are issued.
Ensures safekeeping of Board records such as minutes, board composition and memberships, reports, etc.
University degree from a recognized university or equivalent experience
Master’s degree in Health Administration, or an MBA with a finance-specialization related degree, and a CPA designation
Member in good standing with the Law Society of Upper Canada.
Member in good standing with a Chartered Professional Accountant institution (CA, CMA, CGA)
Over 5 years of related practical experience preferably in a charitable foundation setting.
Demonstrated successful experience overseeing and managing legal and reputational claims and investigations.
Strong knowledge of and general familiarity with legislation relevant to healthcare, hospitals, contracts and human resources.
Knowledge and experience with current health care governance and legal framework.
Healthcare or not-for-profit experience
Strong forecast, analysis and budgeting experience; strong intellectual capabilities with first-rate analytical skills.
Over five years’ experience in a leadership role with fiscal responsibility and budget preparation in a large complex organization
Computer proficiency with Microsoft Office (Word, Excel and Powerpoint), Raiser’s Edge (or equivalent) and Quickbooks (or equivalent), at an Intermediate level.
